Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Docuwi websites, applications, and related services (the “Service”), operated by MoronArt Team (“Docuwi,” “we,” “us,” or “our”).
By creating an account, clicking to accept these Terms, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
If you do not agree, do not use the Service.
1. The Service
Docuwi provides tools to upload, organize, search, and work with your documents in a secure online workspace, including optional features such as reminders and sharing, as made available from time to time.
We may modify, suspend, or discontinue parts of the Service. We will try to give reasonable notice for material adverse changes where practicable.
2. Eligibility
You must be at least the age of digital consent in your jurisdiction (and in any case at least 16 years old) to use the Service. If you are not eligible, you may not use the Service.
3. Your account
You must provide accurate registration information and keep it up to date. You are responsible for:
- Maintaining the confidentiality of your credentials.
- All activity under your account, except where caused by our gross negligence or unauthorized access despite reasonable safeguards.
Notify us promptly at [email protected] if you suspect unauthorized access.
4. Account deletion
You may request deletion of your Docuwi account and associated personal data, subject to the following:
How to request deletion
- Sign in to the Docuwi web application at https://app.docuwi.com (or the URL we provide for your environment).
- Open Workspace settings from the main app navigation (for example, via your account menu).
- Locate the Account deletion section and follow the on-screen instructions. You may be asked to confirm that you understand that deletion is permanent for your account data and to provide an optional reason to help us improve the Service.
Submitting a request creates a deletion request that our team may review before completion, for example to confirm identity, resolve billing or legal holds, or prevent abuse.
What happens after you request deletion
- We will close or restrict access to your account as described in the app during the deletion process.
- We will delete or irreversibly anonymize personal data associated with your account when processing is complete, except where we must retain certain information to comply with law, resolve disputes, enforce these Terms, or protect legitimate interests (for example, aggregated statistics that do not identify you, or records required for tax or fraud prevention).
Cancelling a pending request
If you change your mind before deletion is completed, you may be able to cancel a pending deletion request from the same Workspace settings area, where the app offers that option.
Alternative contact
If you cannot use the in-app flow (for example, you lost access to your account), email [email protected] from the email address associated with your account and describe your situation. We may ask for reasonable information to verify your identity before processing a deletion.
5. Acceptable use
You agree not to:
- Violate any law or infringe others’ rights (including intellectual property and privacy).
- Upload unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or hateful content, or content that contains malware.
- Attempt to gain unauthorized access to the Service, other users’ accounts, or our systems (including probing, scanning, or bypassing security).
- Reverse engineer the Service except where applicable law expressly permits.
- Resell or sublicense the Service without our written consent.
- Use the Service to build a competing product using scraped or bulk-extracted data from the Service without permission.
We may investigate and suspend or terminate accounts that violate these rules.
6. Your content and license to us
You retain ownership of documents and materials you upload (“Your Content”). To operate the Service, you grant Docuwi a limited, worldwide, non-exclusive license to host, reproduce, process, transmit, and display Your Content solely to provide and improve the Service for you (for example, storage, indexing, search, and features you enable).
You represent that you have the rights needed to upload Your Content and to grant this license.
We do not claim ownership of Your Content. You may delete Your Content subject to technical limits and backups; account deletion is described in Section 4.
7. Subscription and fees
Some features may be offered under paid plans. If you purchase a paid plan, you agree to the pricing and billing terms presented at purchase, including renewal and cancellation rules. Taxes may apply where required.
8. Third-party services
The Service may integrate sign-in or other features from third parties (for example, social login). Your use of those features is also subject to the third party’s terms and privacy policy.
9. Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted or error-free, or that Your Content will never be lost; you should maintain your own backups for material you cannot afford to lose.
10. Limitation of liability
To the fullest extent permitted by law:
- Neither Docuwi nor its suppliers will be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising from your use of the Service.
- Our aggregate liability for any claim arising out of these Terms or the Service is limited to the greater of USD 100 or the amounts you paid us for the Service in the twelve (12) months before the event giving rise to liability.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum permitted by law.
11. Indemnity
You will defend, indemnify, and hold harmless Docuwi and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from Your Content, your use of the Service, or your violation of these Terms, except to the extent caused by our willful misconduct.
12. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules. Courts in Delaware have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.
If you are a consumer in the European Economic Area or United Kingdom, you may benefit from mandatory consumer protections in your country of residence, and nothing in this section limits those rights.
13. Changes to these Terms
We may update these Terms. We will post the new version and update the “Last updated” date. If a change is material, we will provide additional notice where required by law. Continued use after the effective date constitutes acceptance of the updated Terms.
